A due diligence shows what is documented and what only ever lived in your head. The difference costs time, trust and negotiating position.

Signs
  • Data room requests land with you without exception, the operational ones included
  • Questions on processes, contracts or client relationships have no source but your memory
  • The first findings concern key-person risk
What matters now
  • What can be answered from the system relieves the process. What comes from memory lengthens it
  • Every gap a reviewer finds weighs more than one you name yourself beforehand
  • Governance is the point at which a process can stall
What does not help
  • Documenting processes during the review. It is recognisable and it counts against you
  • Playing down gaps that are visible in the data room
